These Terms of Service ("Terms") govern the relationship between clients, users, and the company regarding access to and use of the company's services, platforms, and content. By engaging the company's services or accessing its materials, a user or client accepts these Terms.
Acceptance of Terms
Engagement with any service constitutes agreement to these Terms, including any additional terms specific to a particular service or campaign outlined in a separate statement of work. If a contract exists between the client and the company, the contract terms will govern to the extent they are inconsistent with these Terms.
Use of Services
Services are provided subject to fair use and in compliance with applicable law. Users agree not to misuse the services for unlawful activity, infringement of third-party rights, or transmission of harmful content. The client is responsible for providing accurate information necessary for the provision of services and for securing any required permissions for use of third-party materials.
Intellectual Property
All intellectual property rights in deliverables, reports, creative works, and software remain with the company unless otherwise assigned in a written agreement. Clients are granted a limited, non-exclusive license to use deliverables for the purposes described in the engagement. Pre-existing client materials remain client property; the company retains ownership of methodologies, templates, and tools developed prior to or during the engagement unless expressly transferred.
Limitation of Liability
To the maximum extent permitted by law, the company's liability for any claim related to services is limited to direct damages up to the amount paid by the client for the specific service giving rise to the claim during the preceding six months. Under no circumstances will the company be liable for indirect, incidental, consequential, punitive, or special damages, including lost profits or business interruption.
Termination
Either party may terminate a service agreement in accordance with the terms of the specific contract. The company may suspend or terminate access to services immediately if a user breaches these Terms or engages in conduct that threatens the security, integrity, or availability of the service. Upon termination, clients must pay for all work performed up to the termination date and return or cease use of proprietary materials as required under the applicable agreement.
Changes to Terms
The company may modify these Terms from time to time. Updated Terms will be posted and specify the effective date. Continued use of services after posting constitutes acceptance of the revised Terms. Clients with active contracts will be notified of material changes affecting their engagement and provided an opportunity to review and discuss the implications with the company.
